Terms of Service

1. Acceptance of Terms

By accessing or using Bandzly ("the Service"), operated by Hocharbeiten LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Bandzly is a platform that connects live music fans with bands and venues. The Service allows:

  • Bands to create profiles, post show schedules, and reach fans
  • Venues to list their entertainment schedules and promote events
  • Fans/Patrons to discover live music, follow bands and venues, and receive show notifications

3. Account Registration

To access certain features of the Service, you must create an account. You may register using:

  • Email and password — You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
  • Third-party sign-in services (such as Google Sign-In) — When you sign in using a third-party service, you authorize us to access certain account information from that service, such as your name, email address, and profile picture. We will use this information in accordance with our Privacy Policy. Your use of third-party sign-in services is also subject to that service's terms and privacy policy.

You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account information up to date
  • Not create more than one account per band or venue
  • Not share your account credentials with others
  • Notify us immediately of any unauthorized use of your account

If you register a band account, you may claim an existing band profile on Bandzly. By claiming a band, you represent that you are an authorized member or representative of that band.

4. User Content

You retain ownership of all content you submit to the Service ("User Content"), including band profiles, venue information, photos, descriptions, show schedules, announcements, and comments.

By submitting User Content, you grant Bandzly a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Service.

You represent that:

  • You own or have the right to post all content you submit
  • Your content does not infringe any third party's intellectual property or other rights
  • Your content does not contain false or misleading information

5. Prohibited Conduct

You agree not to:

  • Post false, misleading, or fraudulent show listings or profile information
  • Impersonate another band, venue, or person
  • Use the Service to send spam, unsolicited messages, or promotions
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use automated tools, bots, or scrapers to access or collect data from the Service without our prior written consent
  • Upload viruses, malware, or other harmful code
  • Interfere with the proper operation of the Service
  • Violate any applicable local, state, national, or international law

6. Paid Subscriptions

Bandzly offers paid subscription tiers ("Featured" and "Pro") with additional features. By subscribing:

  • You authorize us to charge the payment method you provide on a recurring basis (monthly) until you cancel
  • Subscription fees are billed in advance and are non-refundable except as required by law
  • You may cancel your subscription at any time through your account dashboard or the Stripe customer portal; cancellation takes effect at the end of the current billing period
  • We reserve the right to change subscription pricing with 30 days' prior notice
  • Payment processing is handled by Stripe, Inc. Your payment information is subject to Stripe's Privacy Policy

7. Free Accounts

Basic band accounts are free. Free accounts include profile creation, show scheduling, and search visibility. We reserve the right to modify free tier features at any time.

8. Third-Party Services

The Service may integrate with third-party services, including but not limited to:

We are not responsible for the practices or content of third-party services. Your use of third-party services is at your own risk and subject to those services' terms and policies.

9. Intellectual Property

The Service, including its design, code, logos, and branding (excluding User Content), is owned by Hocharbeiten LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service without our prior written consent.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

11. Termination

We may suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and User Content
  • Any active subscriptions will be cancelled without refund for the current billing period

You may delete your account at any time by contacting us.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not guarantee the accuracy of show listings, venue information, or any other User Content posted on the Service. Show times, dates, and venues are subject to change; always confirm with the band or venue directly.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BANDZLY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless Hocharbeiten LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

15. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Pennsylvania.
